Agreement to Terms
These Terms of Use are a legally binding agreement between you and TripEngine Group Inc. ("we," "us," or "our") regarding your access to and use of the www.tripengine.net website and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). By accessing the Site, you acknowledge that you have read, comprehended, and agree to be bound by all of these Terms of Use.
Intellectual Property Rights
Unless otherwise stated, the Site is our property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (collectively, the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. The Site's Content and Marks are provided "AS IS" for your personal information and use only.
User Representations
By using the Site, you represent and warrant that you will provide true, accurate, current, and complete registration information; you are of legal age; you will not use automated means to access the Site; you will not use the Site in any illegal or unauthorized way; and you will comply with all applicable laws and regulations.
Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make it available. Prohibited activities include systematically retrieving data to build a database or directory; making unauthorized use of the Site; advertising or offering to sell goods and services; circumventing security features; using automated tools such as scripts, bots, or scrapers; impersonating other users; and any activity that interferes with or disrupts the Site.
User Generated Contributions
The Site may invite you to submit content including itineraries, text, photographs, and other materials ("Contributions"). You are solely responsible for your Contributions and represent that they do not infringe on any third-party rights, are not deceptive or misleading, and comply with all applicable laws. We reserve the right to edit, redact, or remove any Contributions at any time.
Site Management
We reserve the right to monitor the Site for violations, take appropriate legal action, and manage the Site in a manner designed to protect our rights and ensure proper functioning. We may restrict access, remove content, or disable accounts at our sole discretion.
Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action shall be commenced in the state and federal courts located in Kent County, Delaware.

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitations of Liability
We will not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages. Our liability to you for any reason will be limited to the amount paid by you to us in the 12 months prior to the cause of action, or $100, whichever is greater.
